Welcome to Build Connect. These Terms and Conditions ("Terms") govern your access to and use of the website located at www.buildconnect.com (the "Site") and the products and services made available through the Site (collectively, the "Services"). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site or Services.

For purposes of these Terms: (a) "User" or "you" means any person or entity that accesses or uses the Site or Services, including contractors, builders, developers, and individual consumers; (b) "Products" means construction materials, fixtures, appliances, and related goods made available for purchase through the Site; and (c) "Services" includes the ability to browse and purchase Products, submit requests for quotes or sourcing assistance, and any related fulfillment or delivery facilitation services.

About Build Connect

Build Connect offers both direct purchase and quote-based transaction options. Certain Products may be available for immediate purchase if they are in Build Connect's inventory. In other cases, you may submit a request for a quote, estimate, or proposal. Any quote provided is for informational purposes only and does not constitute a binding offer unless expressly stated. A binding transaction occurs only upon Build Connect's acceptance of your order or mutual agreement on Products, pricing, and delivery terms.

User Conduct and Use of the Site

Site is Restricted to Users Over 18

The Site and Services are available only to individuals who are at least 18 years of age and to legal entities acting through authorized representatives. By accessing or using the Site or Services, you represent and warrant that you meet this requirement.

Acceptable Use

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You will not use the Site in any manner that could damage, disable, or impair it or interfere with any other party's use.

You agree that all information you provide through the Site will be true, accurate, current, and complete, and you will promptly update such information as necessary. Without limiting the foregoing, you agree not to:

  1. Submit false, misleading, or fraudulent information;
  2. Use the Site or Services for any unlawful, fraudulent, or abusive purpose;
  3. Attempt to gain unauthorized access to any portion of the Site or related systems;
  4. Interfere with or disrupt the integrity or performance of the Site or Services; or
  5. Use the Site in a manner that violates any applicable laws or regulations.

Build Connect reserves the right to suspend or terminate your access, or reject or cancel any orders, if you violate this Section.

Account Registration and Security

To access certain features, you may be required to create an account. You agree to provide accurate information during registration and keep it updated. You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. Notify Build Connect immediately of any unauthorized access or security breach.

Eligibility; Separate Terms for Resellers

These Terms apply to individuals and entities purchasing Products for their own end use ("End Users"). If you are purchasing for purposes of resale or commercial supply to third parties, these Terms do not apply — such activities are subject to separate Commercial Terms. In the event of any conflict between these Terms and applicable Commercial Terms, the Commercial Terms shall control.

Product and Service Information; Site Content; Availability

The Site may present product names, photographs, descriptions, specifications, pricing, lead times, and delivery estimates (collectively, "Content"), provided for general informational purposes. Build Connect endeavors to keep Content accurate but does not warrant that it is complete, reliable, or error-free. Representative photographs may not precisely reflect the actual product appearance, and specifications may change without notice.

You are responsible for confirming that Products meet your needs prior to purchase, including verifying specifications, measurements, quantities, compatibility, and suitability. Product availability is not guaranteed. Build Connect reserves the right to discontinue any Product, modify offerings, impose quantity limits, or correct errors at any time.

Pricing; Orders; Delivery; Payment Terms

Pricing

For individual consumers, all prices are displayed on the Site or provided in response to a quote request. Business customers may contact us directly for pro-pricing schedules. All prices are subject to change at any time. Unless otherwise stated, prices exclude applicable taxes, shipping, handling, and delivery charges.

Order Acceptance

Your submission of an order constitutes an offer to purchase. All orders are subject to acceptance by Build Connect. An order is not binding until accepted, evidenced by an order confirmation, shipment, or other written confirmation. For quote-based transactions, no binding agreement is formed until both parties mutually agree on Products, pricing, and delivery terms.

Delivery

All Products are delivered to the address you specify. Build Connect does not offer in-person pickup. You are solely responsible for providing accurate delivery information, including site access conditions and any special requirements. Delivery dates provided are estimates only. Build Connect shall not be responsible for delays caused by carriers, suppliers, weather, site conditions, or other factors beyond its control.

Payment Terms

You agree to pay all amounts due in accordance with the payment terms at checkout or in an accepted quote. Where approved by Build Connect, payment may be made in installments:

  1. 30% payable at the time the order is placed;
  2. 30% payable upon arrival of Products at the destination port; and
  3. 40% payable within seven (7) days following delivery.

Failure to make any payment when due may result in suspension of order processing, withholding of shipment, or cancellation of the order. All payments are non-refundable except as expressly set forth in these Terms or as required by applicable law.

Risk of Loss and Title

Title to, and risk of loss of, all Products passes to you upon delivery to the delivery location specified in your order, regardless of whether you are present to accept the shipment. Build Connect shall not be responsible for any loss, theft, or damage to Products occurring after delivery.

Inspection and Acceptance

You are responsible for promptly inspecting all Products upon delivery. Claims for shortages, visible damage, or non-conforming Products must be reported in writing within 7 days following delivery. Failure to provide timely notice will be deemed acceptance of the Products as delivered.

Upon a timely and valid claim, Build Connect may, at its option, arrange for replacement, provide a refund or credit, or take other commercially reasonable corrective action. These remedies are your sole and exclusive remedies with respect to any shortage, damage, or non-conformity, except as otherwise required by applicable law. You agree to retain all allegedly damaged Products for inspection and not to return any Products without Build Connect's prior written authorization.

Order Cancellations; Returns; Refunds

Order Cancellations

Orders may not be canceled or modified after acceptance by Build Connect without prior written consent. Any approved cancellation may be subject to cancellation fees, restocking charges, shipping charges, and non-recoverable supplier expenses. Custom, special-order, or made-to-order Products are non-cancelable once the order has been accepted.

Returns

Except as expressly provided herein or required by applicable law, all sales are final. Build Connect may, in its sole discretion, authorize returns on a case-by-case basis. Any authorized return must:

  1. Be requested within 7 days of delivery;
  2. Be approved in advance and accompanied by a return authorization;
  3. Be unused, undamaged, and in original packaging; and
  4. Be shipped in accordance with Build Connect's return instructions.

You are responsible for all return shipping costs unless the return is due to an error attributable to Build Connect. Returns will not be accepted for Products ordered based on incorrect information provided by you.

Restocking Fees

Approved returns may be subject to a restocking fee of up to 25% of the purchase price, in addition to any applicable shipping, handling, or supplier-imposed charges.

Non-Returnable Products

The following Products are not eligible for return or refund (except as required by applicable law or expressly agreed by Build Connect):

  1. Custom, special-order, or made-to-order Products;
  2. Products that have been used, installed, altered, or damaged after delivery;
  3. Products not in their original packaging or condition; and
  4. Products designated as non-returnable at the time of sale.

Refunds

If a return is approved, any refund or credit will be issued net of applicable restocking fees, shipping charges, supplier-imposed fees, and other costs incurred by Build Connect. Refunds may be issued to the original payment method or as store credit, at Build Connect's discretion.

Product Warranties

Build Connect provides limited warranties for Products as set forth in the applicable warranty documentation ("Warranty Documentation"), which may be made available on the Site or otherwise provided at the time of purchase. It is your responsibility to review the applicable Warranty Documentation prior to purchase. Warranty claims must be made in accordance with the procedures set forth therein.

Except as expressly set forth in the Warranty Documentation, Build Connect makes no warranties with respect to the Products. To the maximum extent permitted by applicable law, all Products are provided on an "as is" basis, and Build Connect disclaims all other warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

User Generated Content

The Site or Services may permit you to submit product reviews, ratings, comments, feedback, and other materials ("User-Generated Content"). You are solely responsible for all User-Generated Content you submit. By submitting User-Generated Content, you represent and warrant that:

  1. Such content is true, accurate, and not misleading;
  2. Such content complies with all applicable laws and these Terms;
  3. You own or control all rights necessary to submit it;
  4. Such content does not infringe any third-party rights; and
  5. Such content does not contain unlawful, defamatory, fraudulent, or otherwise objectionable material.

By submitting User-Generated Content, you grant Build Connect a non-exclusive, worldwide, royalty-free, transferable, sublicensable, perpetual, and irrevocable license to use, host, store, reproduce, modify, publish, translate, distribute, and otherwise exploit such content for any purpose related to operating or improving the Site and Services.

Build Connect reserves the right to review, remove, disable, or refuse to post any User-Generated Content at any time and for any reason, and may suspend or terminate your account for violations of this Section.

Intellectual Property

The Site and all content, materials, and functionality made available through the Site or Services (collectively, "Build Connect Content") are owned by or licensed to Build Connect and protected by applicable intellectual property laws. Build Connect™ and all related names, logos, and marks are trademarks of Build Connect or its affiliates.

Subject to your compliance with these Terms, Build Connect grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Build Connect Content solely for your internal, lawful use in connection with evaluating and purchasing Products or Services. You agree not to copy, reproduce, modify, reverse engineer, create derivative works from, or use any automated means to extract data from the Site without Build Connect's prior written consent.

Any Feedback you provide to Build Connect will be deemed non-confidential and non-proprietary. By providing Feedback, you hereby assign to Build Connect all right, title, and interest therein.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR ANY EXPRESS WARRANTIES PROVIDED IN APPLICABLE MANUFACTURER WARRANTY DOCUMENTATION OR IN A WRITTEN WARRANTY FOR BUILD CONNECT BRANDED PRODUCTS, THE SITE, THE SERVICES, AND ALL PRODUCTS AND CONTENT MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

BUILD CONNECT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, BUILD CONNECT DOES NOT WARRANT THAT: (a) THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (b) THE CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT; (c) ANY PRODUCTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (d) ANY DEFECTS OR ERRORS WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUILD CONNECT OR ITS AFFILIATES, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, THE SERVICES, OR ANY PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILD CONNECT'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO BUILD CONNECT FOR THE APPLICABLE ORDER GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

WITHOUT LIMITING THE FOREGOING, BUILD CONNECT SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM: (a) DELAYS IN DELIVERY OR PRODUCT UNAVAILABILITY; (b) ERRORS OR INACCURACIES IN PRODUCT INFORMATION OR SITE CONTENT; (c) YOUR FAILURE TO PROVIDE ACCURATE OR COMPLETE INFORMATION; (d) IMPROPER USE, INSTALLATION, HANDLING, OR STORAGE OF PRODUCTS; OR (e) ACTS OR OMISSIONS OF THIRD-PARTY SUPPLIERS, MANUFACTURERS, OR CARRIERS.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Build Connect and its affiliates, officers, directors, employees, agents, service providers, suppliers, and licensors (the "Build Connect Parties") from and against any and all claims, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  1. Your access to or use of the Site or Services;
  2. Your breach of these Terms or violation of applicable law;
  3. Any information, data, or materials you submit through the Site or in connection with the Services;
  4. Your infringement, misappropriation, or violation of any third-party rights;
  5. Your purchase, handling, storage, installation, or use of any Products; or
  6. Your negligence, willful misconduct, or fraud.

Build Connect reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You may not settle any claim without Build Connect's prior written consent if such settlement would impose any liability or obligation on any Build Connect Party.

Dispute Resolution

You and Build Connect agree to first attempt in good faith to resolve any dispute, claim, or controversy ("Dispute") through informal discussions for a period of at least thirty (30) days before initiating any formal proceeding.

If informal resolution fails, the Dispute shall be resolved exclusively through final and binding arbitration administered by a nationally recognized arbitration provider (e.g., the American Arbitration Association) in accordance with its applicable rules. The arbitration shall be conducted by a single arbitrator in King County, Washington, in English.

Notwithstanding the foregoing, either party may bring an individual action in a small claims court in King County, Washington, if the claim is eligible and remains on an individual basis. Either party may also seek temporary or preliminary injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

Governing Law; Jurisdiction and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. Subject to the arbitration provision above, any legal action shall be brought exclusively in the state or federal courts located in King County, Washington.

Waiver of Rights

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BUILD CONNECT AGREE THAT:

  1. CLASS ACTION WAIVER. ANY DISPUTE SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
  2. WAIVER OF JURY TRIAL. BOTH PARTIES HEREBY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, THE SERVICES, OR ANY PRODUCTS.
  3. WAIVER OF PUNITIVE DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL SEEK OR BE ENTITLED TO RECOVER ANY PUNITIVE, EXEMPLARY, OR MULTIPLIED DAMAGES IN CONNECTION WITH ANY DISPUTE.

IF ANY PORTION OF THIS SECTION IS FOUND TO BE UNENFORCEABLE, THE REMAINING PORTIONS SHALL REMAIN IN FULL FORCE AND EFFECT.

Miscellaneous

Privacy Policy

Your use of the Site and Services is subject to Build Connect's Privacy Policy, which is incorporated into these Terms by reference.

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Build Connect regarding the Site and Services and supersede all prior or contemporaneous agreements, whether written or oral.

Changes to Terms

Build Connect reserves the right to update or modify these Terms at any time. Any changes will be effective upon posting on the Site. Your continued use of the Site or Services after such changes constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver by Build Connect of any term or condition shall be deemed a further or continuing waiver of such term or condition, and any failure by Build Connect to assert a right shall not constitute a waiver of such right.

Assignment

You may not assign or transfer these Terms without Build Connect's prior written consent. Build Connect may assign or transfer these Terms at any time without restriction.

Force Majeure

Build Connect shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, labor disputes, supply chain disruptions, transportation delays, acts of government, war, terrorism, civil unrest, or failures of utilities or communications infrastructure.

Relationship of the Parties

Nothing in these Terms shall create any partnership, joint venture, agency, or employment relationship between you and Build Connect.

Electronic Communications

By accessing or using the Site or Services, you consent to receive communications from Build Connect electronically. You agree that all notices and communications provided electronically satisfy any legal requirement that such communications be in writing.

Headings

Section headings are for convenience only and have no legal or contractual effect.

Survival

Any provisions that by their nature should survive termination of these Terms shall so survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and payment obligations.
